Graham has served as bond counsel, disclosure counsel, and underwriter’s counsel on a broad range of tax-exempt and taxable financings, including general obligation bonds, special tax bonds, revenue bonds, lease revenue bonds, and certificates of participation. Graham has acted in the lead bond and disclosure counsel role on numerous projects, including California’s K–14 districts and charter schools, to finance the construction and rehabilitation of schools to meet the needs of students and the community. He has acted in the lead bond and disclosure counsel role on numerous formations and financings under the Mello-Roos Community Facilities Act of 1982, serving as counsel to educational agencies, cities, counties, and public utilities. He has also assisted multiple educational agencies through the election process to win voter approval for their bond issuances and has experience with a variety of financing options available to California community college and school districts. As disclosure counsel, Graham provides school districts with strategic advice on compliance with SEC rules and regulations, including the disclosure requirements of federal securities laws.
